Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective February 26, 2009, the Compensation Committee of the Board of Directors of Cheniere Energy, Inc. (the "Company") approved a base salary increase for Charif Souki, Chairman, Chief Executive Officer, and President of the Company. Mr. Souki's base salary was increased to $720,000 effective as of January 7, 2009.
