Item 8.01. Other Events.

On February 17, 2009, Exelon Corporation (Exelon) and Exelon Xchange Corporation submitted to the California Public Utilities Commission (CPUC) an Application for Authority to Acquire Indirect Control and Ownership (Application) of NRG Energy Center San Francisco, LLC (Energy Center), an indirect wholly-owned subsidiary of NRG Energy Inc. (NRG). By letter dated April 2, 2009, the CPUC advised Exelon that the Application was accepted as filed on April 2. The CPUC regulates Energy Center's San Francisco facility as a utility and must approve the change in control that would result from Exelon's acquisition of NRG.
