Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 24, 2009, the board of directors of Telanetix, Inc. (the "Company"), approved an amendment to Article II, Section 3 of the Company's bylaws to increase the maximum number of days before the date of the Company's annual meeting that the Company can give notice to its stockholders of such annual meeting from 20 days to 60 days. The foregoing amendment was effective April 24, 2009. A copy of the bylaws, as amended, is included an exhibit to this report.
