Item 8.01 Other Events.
On June 30, 2009, Roni Haliva, General Manager of Xfone 018 Ltd. ("Xfone 018"),
the Israel-based majority owned subsidiary of Xfone, Inc. (the "Company"),
resigned from his position with Xfone 018. In connection with his resignation,
Mr. Haliva relinquished his rights to be granted stock options to purchase
shares of the Company's common stock under the Company's 2007 Stock Incentive
Plan, which had been set forth in Mr. Haliva's employment contract with Xfone
018.
Xfone 018's board of directors intends to commence a search for a candidate to
fill the position of General Manager.
