Item 8.01 Other Events

On July 2, 2009, Trustmark Corporation (the "Corporation") filed an Annual Report on Form 10-K/A (Amendment No. 1) for the fiscal year ended December 31, 2008 (the "Form 10-K/A"). The Form 10-K/A was filed in response to comments received by the Corporation from the staff of the Division of Corporation Finance of the Securities and Exchange Commission.

The Form 10-K/A includes only those items that changed (Item 1- Business; Item 1A - Risk Factors; Item 7 - Management's Discussion and Analysis of Financial Condition and Results of Operation; Items 10 through 14, inclusive; and Item 15
- Exhibits and Financial Statement Schedules) relative to the Corporation's Annual Report on Form 10-K for the year ended December 31, 2008 (the "Form 10-K"), filed on February 26, 2009. Other than the items included in the Form 10-K/A, no changes were made to any other Item of the Form 10-K (including Item
8 - Financial Statements and Supplementary Data), and the disclosure and information contained in these unaffected Items can be found in the Form 10-K, filed on February 26, 2009.
