Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On May 11, 2009, Sealed Air Corporation (the "Company") filed a Current Report
on Form 8-K reporting Robert A. Pesci's decision to retire from the Company
later in 2009. Effective October 30, 2009, Mr. Pesci has resigned as a Senior
Vice President of the Company. Mr. Pesci was a "named executive officer" for
whom disclosure was required by the Company in its most recent proxy statement
pursuant to Item 402(c) of Regulation S-K. Mr. Pesci will continue serving as
an employee of the Company and will undertake assignments as directed by the
Company's Chief Executive Officer.
